ExxonMobil Plans to Move
Legal Home from New Jersey
to Texas After 140 Years
ExxonMobil announced plans to move its legal incorporation from New Jersey to Texas, ending more than 140 years of being officially based in the Garden State.
The company’s board of directors unanimously recommended the move, saying it would align ExxonMobil’s legal home with its headquarters and core operations in Texas. ExxonMobil has had its corporate headquarters in Texas since 1989, and today much of its leadership, research facilities, and U.S. workforce are located in the state.
Company leaders say Texas offers a more business-friendly legal and regulatory environment, including specialized courts designed to handle complex corporate disputes. ExxonMobil says the move would also help the company better defend against shareholder lawsuits and other legal challenges.
Shareholders will vote on the proposal at the company’s annual meeting in May 2026. If approved, ExxonMobil’s legal domicile would officially shift to Texas, though the company says the change will not affect operations, employees, or business strategy.
About 30% of ExxonMobil’s global workforce is located in Texas, including a large presence at the company’s massive complex in Baytown.
